Overview

Iro holds an LL.B. from the Law School of the University of Athens. During her undergraduate studies, she was awarded scholarships by the State Scholarships Foundation (IKY) in recognition of her academic performance and graduated with first-class honours and Valedictorian of her class. She continued her studies at the University of Heidelberg, where she obtained an LL.M. (in corporate law), and at the University of Athens where she was awarded her Ph.D. (in corporate law). She has also attended the programme “Tax Law for Legal Professionals” at the Athens University of Economics and Business. Prior to joining Kelemenis & Co. in 2008, she did her traineeship at ATE Securities, a subsidiary of ATEbank.

Iro is a lawyer specialising in corporate and commercial law, with professional experience spanning twenty years. Her practice covers a broad range of commercial law matters, including company law, commercial contracts, insolvency and corporate restructuring, banking law – particularly its regulatory aspects – as well as competition and intellectual property. She has extensive experience in the structuring and operation of commercial agency, distribution and franchise networks. In this context, she has been involved both in structuring and negotiating the contractual framework for the establishment of such networks and in managing, pursuing and defending claims arising from the termination of such contracts.

She is active in both advisory and transactional work as well as the resolution of complex commercial disputes, representing companies, investors and business groups before civil courts and arbitral tribunals. She has extensive experience in handling complex matters involving corporate and commercial disputes, shareholder and partner disputes, directors’ liability issues, as well as disputes arising from commercial agreements and business transactions. Beyond her specialisation in commercial law, Iro also advises clients on a broad range of business law matters, including employment and tax law, regulatory compliance, corporate governance and the regulatory framework governing business activity, assisting companies and business groups in matters relating to their organisation, operation and development. She regularly handles matters with an international dimension and works comfortably in English in the context of negotiations and the drafting of legal documents.

Iro acts for Greek and international companies at all stages of complex business transactions, from the legal structuring and planning of the transaction through to negotiation and completion. She has particular experience in mergers and acquisitions (M&A), often of a cross-border nature, as well as in conducting legal due diligence and drafting complex agreements, including share purchase and shareholders’ agreements. She also has significant expertise in insolvency and corporate restructuring, advising and representing companies, investors and creditors in bankruptcy, restructuring and corporate reorganisation proceedings. She frequently provides legal opinions on commercial and regulatory law matters, combining her strong academic background with extensive practical experience in demanding business matters.

Iro has represented clients across a wide range of sectors, including tourism and hospitality, banking, information and communications technology, medical and pharmaceutical companies and medical equipment suppliers, retail companies with a particular focus on distribution networks, energy companies (particularly in the solar energy sector), and real estate development companies.

  • One of the four families of the Sbokos group in the arbitration proceedings for the demerger of the Sbokos Hotel Group and the final settlement agreement between the parties. The Sbokos Hotel Group is one of the leading hotel groups in Greece, owning such hotels as Blue Palace, Agapi Beach, Cretan Malia Park, Koutouloufari Village Holiday Club and Village Heights Golf Resort.
  • Geox SpA, the Italian shoes manufacturer, in several cases of Greek creditors (retail shoes companies) that filed “Chapter 11” proceedings (articles 99 et seq. of the Greek Bankruptcy Code).
  • General Electric in a litigation that commenced from Greek creditors challenging the legal standing of its global merger with Alstom Power.
  • Filing a complaint before the Greek Competition Commission and the Greek Individual Public Procurement Authority regarding the settlement agreement between Siemens and the Greek State.
  • Several gaming brokers against OPAP, Greece’s leading gaming company, in relation to the termination of their brokerage agreement with OPAP.   • The syndicate of seven Greek banks in a (bond) loan of €95-million in connection of the security interests arising from the refinancing of the bank debt of a Greek listed group of companies from the food industry.
  • The Swiss branch of Stryker, the leading medical technology company, in relation to an exclusive distribution agreement governed by Greek law and subject to arbitration before the ICC Court.
